Create a Data Room

Creating a new data room is simple. Just follow the wizard after you click the “Create Data Room” button.

In this wizard you will be presented with following options:

Connect to a cloud provider, such as Microsoft OneDrive: You will be redirected to the specific provider so the application can get the right access rights. After that you are all set!
Integrate directly with a Virtual Data Room (VDR) provider or document management system: You will also need to give Emma the right access rights.

Data Room Overview

The Data Room Overview page provides a high-level summary of:

Risks and liabilities identified in your data room
- Overall Completion: A color-coded legend showing the distribution of risk levels found across all documents (High, Medium, Low, No Risk).
- Red Flags Categorized: Shows a summary of risks broken down by legal area (e.g., "General," "HR," "Corporatio

Creating a custom check

A custom check lets you define your own question or clause definition, configure which documents Emma should analyze, and set up automatic risk-level detection. The result appears as a new column in the Risks tab of the Matrix. Once created, the check runs on all documents currently in scope and automatically on any new ones added later.

Step 1 — Open the new check form

You can open the form in three ways:

Matrix → Risks tab → Select checks → New check (button inside the check picker dialog)
Matrix → Risks tab → click the + icon in the rightmost column header of the Risks table
Checks page (in the main sidebar) → New check button in the top right

Any of these opens the same check creation form.

Step 2 — Choose a topic

Select the Topic that best fits the check. Topics are used to organize checks in the picker and on the Checks overview page — they do not affect how Emma analyzes documents.

Available topics include subject-matter areas (Commercial, Corporation, Data Privacy, EH&S, Financial, General, HR, IP, IT, Investment, Litigation, Permits, Real Estate, Tax) and jurisdiction-specific buckets for region-specific compliance (e.g. Belgium for Belgium-specific regulations).

Step 3 — Enter a title

The Title is the short name for the check. It becomes the column header in the Matrix Risks tab and also appears on the Checks page and in the check picker. Keep it concise and descriptive — something your team will immediately r

Roles within the Emma Platform

Emma works with two layers of permissions: (1) organization-level roles and (2) deal-level roles.

1. Organization-level roles

These roles govern access across your entire Emma environment:

User: Users can create new data rooms and view the data rooms they have access to within the organization. This is the default role for internal team members who are actively involved in deal work.
Admin: Admins retain all User permissions, but also manage access. They can invite new colleagues, remove users, and oversee the overall membership of the organization.

In Settings > Members, you’ll also find external collaborators who only have access to a specific data room. For a complete view of who can access what, the Settings > Data Rooms page provides a structured breakdown.

In Settings > Members page, you can also enable authorized domains which will allow everyone with an email address of that domain to access this organization as a user.

2. Deal-level roles

These roles determine what a person can see and do inside a particular deal. They allow you to align access with responsibilities on each deal.

Report Viewer: Has read-only access to the final report. They do not see underlying documents or the detailed workspace.
Domain Responsible: Can view the Overview and Documents pages, but only for the domains or areas assigned to them. Ideal for subject-matter experts who review a specific scope.

Intralinks - Data Room connection

Prerequisites:

You need a Client ID and a Client Secret. These are typically provided by your Intralinks administrator.
You need to have the same e-mail address as a user name within both the Emma platform and Intralinks VDR Pro.
Users need to have bulk download rights within Intralinks VDR Pro. If you do not have these rights, Emma will not have access.

Connecting Emma to Intralinks

The Intralinks integration is fully available to all eligible users. You do not need to request access or wait for approval.

To connect or reconnect Emma with your Intralinks Data Room:

Click the Connect or Reconnect button for Intralinks within Emma.
Follow the prompts to enter your credentials and select the appropriate workspace if required.
Once connected, you can proceed with transferring or managing documents between Emma and Intralinks.

Using predefined checks

Checks are questions or clause definitions Emma runs against every relevant document in your data room. The result — a risk level per document — appears as a column in the Risks tab of the Matrix.

Emma provides a library of predefined checks organized by topic. You can also reuse checks from other data rooms in your organization. This article walks you through adding them.

Step 1 — Open the check picker

Go to the Matrix in the main sidebar, select a document type in the left sidebar, and click the Risks tab. Then click Select checks in the toolbar.

You can also open the picker from the Checks page (main sidebar) by clicking Select checks in the top right.

Step 2 — Browse Emma's checks

The picker opens on the Emma's Checks tab, which shows the full predefined library.

Checks are grouped into topics such as HR, Commercial, Financial, IP, IT, General, and more. Click a topic name to filter the list, or use the search box to find a specific check by name or keyword.

Each check card shows:

Title — the name of the check
Description — what Emma looks for in documents
Jurisdiction tags — which jurisdictions the check applies to
Risk descriptions — what constitutes High, Medium, and Low risk for this check

Checks that are already added to your data room are greyed out.

Example: click HR in the topic list, then tick the checkbox on Non-Solicitation of Employees, IP Transfer, and *Non-Compete Clause

Key terms tab

The Key terms tab shows AI-extracted values for every key term defined on the document's type — clauses, dates, amounts, yes/no answers, and summaries that Emma pulled from this specific file. It is the document-level counterpart to the Key terms columns in the Matrix.

Prerequisites

Key terms appear only when:

The document is assigned to a document type that has key terms configured
The document has finished AI processing

If the document has no type, or has type "Other" (AI could not classify), the tab shows guidance to assign a proper document type first.

If processing failed, an amber banner appears and extracted values may be missing.

Tab header and counts

The tab label shows Key terms (n) where n is the number of key terms with values (or configured terms awaiting extraction).

When exactly one document type applies and processing is complete, the tab header also offers:
