The Folder view

The Documents page provides two main layouts: IRL (by Information Request List) and Folder. You can switch between them using the toggle at the top of the page. This article explains how the Folder view works. For categorization by document type, see The IRL view.


What is the Folder view?


The Folder view lets you browse all files in your data room exactly as they are arranged in the connected source (your VDR or cloud storage). Unlike the IRL view—which groups files by document type—the Folder view displays the original folder and file structure, making it straightforward to locate a file by its original path.


For Project workspaces (not M&A data rooms), the Folder view is the primary way to browse files, as there is no IRL for Projects.


Navigating folders


The left sidebar lists all connected sources and their folder trees. Click a source to reveal folders, then click any folder to display its files in the main panel.


The file list


Each row in the file list shows:


  • File name — click to open the Document viewer
  • Categorization badges — the IRL document types assigned (if any)
  • Jurisdiction and legal entity — where applicable
  • Reviewers — avatars for team members who have marked the file as reviewed
  • Warnings — if Emma detected an issue (for example, uncertain categorization or processing errors)
  • Bundle indicators — a blue document icon means Emma suggests a related document bundle; a violet question-mark document icon means the file may refer to a missing annex or may be an annex without a matching main agreement
  • Disclosure bundle indicator — if the file belongs to a disclosure bundle


Per-file actions


Click the menu icon (three dots) on a file row to:


  • Open the Document viewer
  • Categorize the file (open the categorization wizard)
  • Mark as reviewed/unreviewed
  • Update jurisdiction or legal entity
  • Add or remove from a disclosure bundle
  • Delete the file


Bundle suggestions


Emma can suggest that a contract and a related annex or addendum should be reviewed as one bundle. Suggestions are based on signals such as the agreement title and date, parties, file name, and folder location.


Click the blue bundle indicator or open the document to review the proposed relationship. You can review the suggestion before creating the bundle, edit the proposed files if needed, or dismiss it when it is not relevant.


If Emma finds an explicit reference to an annex that is not present in the data room—or identifies an annex without a viable main agreement—it shows a violet missing-document indicator. Open the document to view the reference and dismiss the finding if the document is not actually missing.


Bulk actions


Use the checkboxes to select multiple files. The bulk action bar will appear:


  • Categorize all selected files
  • Mark as reviewed or unreviewed
  • Update jurisdiction or legal entity in bulk
  • Delete multiple files
  • Compare selected files


Adding files


Open the (three dots) menu in the toolbar (hover for the Manage sources tooltip). Under Add, choose Source or files to link a new data room integration or manually add files. For detailed steps, see Data Room Connections & File Upload.


Filtering files


Use the Filters button in the toolbar to focus the file list by review status, duplicates, jurisdiction, legal entity, or date added. For advanced filtering, see Filtering documents.
